Terms of Service

These Terms of Service (the "Terms") govern the vehicle photography and listing services provided by 17882033 Canada Inc., operating as Petros Software ("Petros Software", "Dealer Pipeline", "we", "our", or "us"). By booking a shoot, accepting a quote, or otherwise using the Service, you ("you", the "Dealer") agree to be bound by these Terms. If you are accepting on behalf of a dealership or other business, you represent that you have authority to bind that business.


1. The Service

Dealer Pipeline is an on-lot vehicle photography and listing service for car dealerships (the "Service"). For each vehicle covered by a booking, the Service consists of:

  • Photography of the vehicle at your lot by our team, using our equipment
  • Editing of the photographs through our proprietary processing pipeline
  • Decoding of the vehicle's VIN and generation of a unique listing description based on the decoded vehicle data
  • Publishing of the finished photographs and description directly to your vehicle listings, using access you authorize

The software used to edit photographs, decode VINs, generate descriptions, and publish listings is our internal tooling. It is operated exclusively by our team and is not offered to you as a product, licensed to you, or made available for your use.

2. Booking and Site Access

2.1 Booking. Shoots are booked by phone, email, or the booking form on dpipeline.app. A booking is confirmed when we agree on a date, location, and the vehicles (or number of vehicles) to be photographed.

2.2 Site access. You will provide our team with reasonable and safe access to your lot and to the vehicles scheduled for the visit, including the VIN of each vehicle to be photographed. You are not required to prepare, move, or clean vehicles unless we agree otherwise.

2.3 Scheduling changes. Either party may reschedule a booking with reasonable notice. If our team arrives for a confirmed booking and the scheduled vehicles are unavailable, we may treat the visit as delivered for those vehicles or reschedule at our discretion, acting reasonably.

3. Pricing, Invoicing, and Payment

3.1 Per-vehicle pricing. The Service is priced per vehicle. Your per-vehicle rate — and any other commercial terms that apply to your dealership — is quoted to you and confirmed in writing before your first paid shoot. The written quote governs if it differs from any general description of pricing on our website.

3.2 What the price includes. Unless your quote states otherwise, the per-vehicle price includes photography, editing, one VIN-based listing description, and publishing to your listings for that vehicle.

3.3 Invoicing. We invoice for delivered vehicles as set out in your quote. Invoices are payable as stated on the invoice. Amounts are in Canadian dollars unless the quote states otherwise, and exclude applicable taxes, which will be added where required by law.

3.4 Late or disputed amounts. If you dispute an invoice in good faith, notify us at [email protected] within fifteen (15) days of the invoice date and we will work with you to resolve it. We may suspend further shoots while undisputed amounts remain overdue.

4. Free First Shoot

4.1 The offer. New dealerships may request one complimentary first shoot: up to three (3) vehicles photographed at your lot, with finished, edited photographs delivered the same day, at no charge and with no obligation to purchase anything.

4.2 Scope and limits. The complimentary first shoot is limited to one per dealership (including commonly-owned or affiliated rooftops), is subject to scheduling availability within our service area, and may be modified or withdrawn at any time for future bookings. Deliverables beyond those described in Section 4.1 are included only if we confirm them in writing.

5. Dealer Responsibilities and Acceptable Use

You agree that you will:

  • Only submit for photography vehicles that your dealership owns or is lawfully authorized to advertise
  • Provide accurate vehicle information, including VINs
  • Review published listings and promptly tell us about any error so we can correct it
  • Not use the Service for any unlawful, deceptive, or infringing purpose
  • Not resell, sublicense, or otherwise make the Service available to any third party without our prior written consent

You are solely responsible for ensuring that your vehicle advertising — including listings produced through the Service — complies with applicable dealer-licensing, advertising, and consumer-protection laws in your jurisdiction.

6. Customer Content and Data

6.1 Your information. Information you provide to us (dealership details, contact information, vehicle information, and access credentials or permissions for your listing systems) is handled in accordance with our Privacy Policy at https://dpipeline.app/privacy.

6.2 Working files. Raw and processed files from your visits are retained on our systems for the duration of your service relationship, so that listings can be updated, reissued or re-published for you later. You may ask us to deliver finished files to you, or to delete them, at any time.

6.3 Booking records. Booking, delivery, and billing records may be retained for legal, tax, and operational purposes for a reasonable period.

7. Intellectual Property and Portfolio Use

7.1 Your license to the deliverables. Upon payment in full for a vehicle (or, for the complimentary first shoot, upon delivery), you receive a perpetual, worldwide, royalty-free license to use, reproduce, and display the finished photographs and descriptions for that vehicle for your dealership's advertising and business purposes.

7.2 Our ownership. We retain all right, title, and interest in and to our photography, editing pipeline, software, templates, and know-how, and — subject to the license in Section 7.1 — in the photographs we take.

7.3 Portfolio use. You grant us permission to use photographs from your shoots (including before-and-after comparisons) in our own portfolio, website, and marketing materials. We will not state your dealership's name in such materials without your consent, and we will stop using specific images if you ask us to in writing at [email protected].

8. Publishing to Third-Party Systems

8.1 Your authorization. Publishing to your vehicle listings requires access to the listing or inventory systems your dealership uses. You authorize us to use the access you provide solely to deliver the Service, and you represent that you are entitled to grant that access.

8.2 Third-party systems. Your listing and inventory systems are operated by third parties under their own terms. We are not affiliated with, endorsed by, or responsible for those systems, their availability, or changes to them that affect publishing. If a third-party system prevents direct publishing, we will work with you on a reasonable alternative delivery method.

9. Disclaimers and Warranties

9.1 "As Is." The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

9.2 No guarantee of specific output. Our pipeline applies algorithmic image processing, VIN decoding, and automated description generation. While we strive for consistent, professional, and accurate results, we do not warrant that every photograph or description will meet your specific aesthetic, regulatory, or commercial expectations. Vehicle descriptions are generated from decoded VIN data and other information you provide; you are responsible for reviewing your listings and remain the publisher of record for your advertising.

9.3 Scheduling. Shoot dates depend on weather, access, and routing; we do not guarantee any particular turnaround except as confirmed for a specific booking. "Same day" refers to delivery on the day of the shoot for vehicles photographed that day, under normal operating conditions.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

10.1 Petros Software's total cumulative liability arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to Dealer Pipeline in the twelve (12) months preceding the event giving rise to the claim.

10.2 Petros Software shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost data, lost revenue, business interruption, or loss of goodwill, regardless of the cause of action.

10.3 Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for gross negligence, willful misconduct, or death or personal injury caused by Petros Software's negligence.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dealer Pipeline, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms
  • Vehicles or vehicle information you submit for the Service, including inaccurate VINs or vehicle details
  • Your violation of any applicable law or third-party right
  • Misrepresentation by you of vehicles, their condition, features, or specifications in any listing
  • Access you provide to third-party listing or inventory systems

12. Cancellation and Termination

12.1 By you. You may stop booking shoots at any time; there is no ongoing commitment beyond paying for vehicles already photographed and confirmed bookings not cancelled with reasonable notice.

12.2 By us. We may decline or discontinue service, with or without notice, if you breach these Terms, fail to pay amounts owing, or if we reasonably believe continued service exposes us or others to legal, safety, security, or operational risk. If we discontinue the Service generally, we will provide reasonable advance notice for confirmed bookings.

12.3 Survival. Sections 6 (Customer Content and Data), 7 (Intellectual Property and Portfolio Use), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), and any other provisions which by their nature should survive, shall survive any termination.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, located in the City of Toronto. You consent to the personal jurisdiction of those courts.

14. Changes to These Terms

Petros Software may revise these Terms from time to time. The most current version will always be posted on dpipeline.app. We will notify you of material changes by email to the address on file at least thirty (30) days before the changes take effect. Continued use of the Service after the effective date of a revision constitutes acceptance of the updated Terms.

15. Miscellaneous

15.1 Entire Agreement. These Terms, together with your written quote and any documents expressly incorporated by reference (including the Privacy Policy), constitute the entire agreement between you and Dealer Pipeline regarding the Service and supersede all prior or contemporaneous communications and proposals.

15.2 No Waiver. Petros Software's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.3 Severability. If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable, the remaining provisions shall remain in full force and effect.

15.4 Assignment. You may not assign or transfer these Terms without Petros Software's prior written consent. Petros Software may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets.
